Hidden Key Rental Agreement, Assumption of Risk, Liability Waiver, and House Rules

By signing this Agreement, the Lessee acknowledges that they have read, understand, and agree to the following terms and conditions.
1. Eligibility
The individual signing this Agreement ("Lessee") represents and warrants that they are at least twenty-five (25) years of age.
Every person entering or occupying the Property during the rental period must be at least eighteen (18) years of age.
The Lessee is responsible for verifying the age of every guest and ensuring compliance with this requirement.
No person under the age of eighteen (18) is permitted on the Property at any time.
2. Adult-Oriented Equipment
The Property contains adult-oriented furnishings and equipment intended solely for lawful use by consenting adults.
The Lessee accepts full responsibility for:
the proper use of all equipment;
ensuring all guests understand how to safely use any equipment they choose to use;
preventing misuse, reckless conduct, or unsafe practices; and
supervising all guests as necessary to maintain a safe environment.
3. Assumption of Risk
The Lessee acknowledges that the use of specialized furniture, restraints, suspension points, impact implements, and other adult-oriented equipment may involve inherent risks, including serious bodily injury, emotional distress, disability, or death.
The Lessee voluntarily assumes all known and unknown risks arising from the use or misuse of the Property and any equipment located therein, whether by the Lessee or any guest invited by the Lessee.
4. Release of Liability
To the fullest extent permitted under Michigan law, the Lessee, on behalf of themselves and their guests, releases, waives, and discharges Hidden Key, its owners, managers, employees, contractors, and agents from any and all claims, demands, causes of action, damages, losses, or liabilities arising from:
use or misuse of the Property;
use or misuse of any equipment;
injuries to the Lessee or guests;
accidents occurring during the rental period; and
any acts or omissions of the Lessee or guests.
This release does not waive liability to the extent such waiver is prohibited by applicable law.
5. Responsibility for Guests
The Lessee accepts full responsibility for the conduct, safety, and actions of every guest entering the Property.
Any act or omission by a guest shall be deemed an act or omission of the Lessee for purposes of this Agreement.
6. Damage to Property
The Lessee accepts financial responsibility for any loss, damage, excessive cleaning, missing property, or destruction occurring during the rental period, regardless of whether caused by the Lessee or any guest.
This responsibility includes, but is not limited to:
damaged furnishings;
damaged equipment;
stained or damaged linens;
structural damage;
broken fixtures;
missing items;
extraordinary cleaning resulting from misuse.
Hidden Key may document damage by photographs, video, inspection reports, invoices, or repair estimates.
7. Authorization to Charge Payment Method
The Lessee expressly authorizes Hidden Key to charge the payment method on file for:
repair or replacement of damaged property;
replacement of missing items;
excessive cleaning fees;
additional fees authorized under the rental agreement; and
any other amounts the Lessee is responsible for under this Agreement.
Hidden Key agrees to provide an itemized statement of charges upon request.
8. Prohibited Conduct
The following are strictly prohibited:
possession, use, manufacture, or distribution of illegal drugs;
any unlawful activity;
violence or threats of violence;
non-consensual conduct;
commercial sexual activity prohibited by law;
damage to the Property; and
any activity that violates federal, state, or local law.
Violation of this section may result in immediate termination of the rental without refund and may be reported to law enforcement when appropriate.
9. Compliance with Law
The Lessee agrees that all activities occurring at the Property will comply with all applicable federal, Michigan, and local laws.
10. Indemnification
The Lessee agrees to defend, indemnify, and hold harmless Hidden Key and its owners, managers, employees, contractors, and agents from any claims, lawsuits, liabilities, damages, costs, attorney fees, or expenses arising out of:
the Lessee's use of the Property;
the conduct of any guest;
violations of this Agreement; or
violations of applicable law.
11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan. Any legal proceeding arising from this Agreement shall be brought in a court of competent jurisdiction located within Michigan unless otherwise required by law.
12. Severability
If any provision of this Agreement is determined to be unenforceable, the remaining provisions shall remain in full force and effect.
13. Acknowledgment
By signing below, the Lessee acknowledges that:
they have read this Agreement in its entirety;
they understand its terms;
they understand the risks associated with the Property and its equipment;
they voluntarily accept those risks;
they agree to be responsible for all guests;
they agree to comply with all house rules and applicable laws; and
they agree to be financially responsible for damage to the Property.
Additional Rental Terms
14. Rental Term
The rental period begins at the scheduled check-in time and ends at the scheduled check-out time listed in the reservation confirmation.

Early check-in or late check-out is permitted only with prior written approval from Hidden Key and may be subject to additional fees.
15. Rental Rate and Payment
The Lessee agrees to pay the rental rate, applicable taxes, cleaning fees, and any additional charges disclosed at the time of booking.
Unless otherwise agreed in writing, full payment is due before check-in. Failure to make payment may result in cancellation of the reservation or denial of access to the Property.
16. Security Deposit
If a security deposit is required, it may be used to cover unpaid charges, damages, excessive cleaning, missing items, unauthorized occupancy, or other amounts owed under this Agreement. The security deposit does not limit the Lessee's financial responsibility for damages exceeding the deposit amount.
17. Check-In
Hidden Key will provide check-in instructions before the rental period begins.
The Lessee agrees not to share access codes, lockbox combinations, keys, or other entry credentials with anyone other than authorized guests.
The Lessee is responsible for securing the Property whenever it is unattended.
18. Check-Out
At check-out, the Lessee agrees to:
Vacate the Property by the scheduled check-out time.
Lock all doors and windows.
Return any keys or access devices as instructed.
Leave the Property in reasonably clean condition.
Dispose of trash in designated containers.
Report any damage or malfunction before departure.
Normal laundering of linens and towels is included in the cleaning fee. However, extraordinary cleaning resulting from bodily fluids, excessive staining, misuse of equipment, smoking, illegal drug use, biohazards, or intentional damage may result in additional cleaning charges.
19. Unauthorized Overstay
The Lessee has no right to remain on the Property after the agreed check-out time.
If the Lessee or any guest remains beyond the scheduled check-out time without Hidden Key's written approval, Hidden Key may assess:
an overstay fee of $________ per hour (or portion thereof), or
an additional nightly rental charge if occupancy extends beyond _______ hours after check-out,
whichever Hidden Key determines is applicable based upon the circumstances.
The Lessee shall also be responsible for any losses incurred by Hidden Key, including relocation costs, refunds to incoming guests, additional cleaning costs, attorney fees where permitted by law, and other damages resulting from the unauthorized overstay.
Nothing in this section creates or extends any landlord-tenant relationship or grants the Lessee any right to continued occupancy beyond the agreed rental term.
20. Maximum Occupancy
Maximum occupancy is ________ adults.
Only registered guests identified in the reservation may enter or occupy the Property unless Hidden Key provides prior written approval.
21. Smoking and Vaping
Smoking, vaping, or the use of any combustible substance inside the Property is prohibited unless expressly authorized in writing by Hidden Key.
Violation of this policy may result in additional cleaning, deodorization, repair charges, and immediate termination of the rental.
22. Right to Terminate
Hidden Key reserves the right to terminate the rental immediately, without refund, if the Lessee or any guest:
violates this Agreement;
engages in illegal activity;
exceeds occupancy limits;
creates a nuisance or disturbance;
intentionally damages the Property; or
endangers the safety of any person or the Property.
23. Entire Agreement
This Agreement, together with the reservation confirmation and any incorporated policies, constitutes the entire agreement between Hidden Key and the Lessee and supersedes all prior oral or written understandings concerning the rental.
24. Intended Use of Property
The Property is offered as a private short-term lodging accommodation for lawful recreational use by consenting adults.
The Property is not intended to be used as a public venue, event space, club, commercial filming location, instructional facility, or place of business unless expressly authorized in writing by Hidden Key.
No admission fees, tickets, memberships, or commercial events may be conducted on the Property without prior written approval.
25. Consent and Capacity
The Lessee represents and warrants that every guest:
is at least eighteen (18) years of age;
is voluntarily present at the Property;
possesses the legal capacity to consent to any activity in which they choose to participate;
is responsible for communicating and respecting personal boundaries and limitations; and
will refrain from participating in any activity while impaired by alcohol, illegal drugs, prescription medication, or any substance that could affect judgment or physical ability.
Hidden Key neither supervises nor monitors any activities occurring on the Property.
26. No Instruction or Supervision
Hidden Key does not provide instruction, certification, supervision, monitoring, or safety training regarding the use of any furnishings or equipment located on the Property.
Lessee acknowledges that Hidden Key makes no representation regarding the Lessee's or any guest's knowledge, experience, physical ability, or competency to use any equipment.
The Lessee is solely responsible for determining whether any guest is capable of safely using any equipment.
27. Equipment Inspection
Upon arrival, the Lessee agrees to inspect the Property and all equipment.
Any damaged, loose, defective, or unsafe equipment shall not be used and shall be reported immediately to Hidden Key.
Continued use of any equipment after discovering an apparent defect shall be at the Lessee's sole risk.
28. Personal Property
Hidden Key is not responsible for lost, stolen, or damaged personal property belonging to the Lessee or any guest.
Guests are encouraged to secure valuables and verify they have removed all personal belongings before departure.
Items left behind may be discarded or returned at the owner's expense, at Hidden Key's discretion.
29. Utilities and Interruptions
Hidden Key shall not be liable for interruptions or failures involving:
electricity;
water;
internet service;
cellular service;
heating or cooling;
television services;
municipal utilities; or
circumstances beyond Hidden Key's reasonable control.
Temporary interruptions shall not entitle the Lessee to a refund unless otherwise required by law.
30. Force Majeure
Hidden Key shall not be liable for cancellation, interruption, or inability to provide accommodations due to circumstances beyond its reasonable control, including but not limited to:
severe weather;
flooding;
fire;
utility failures;
acts of government;
public health emergencies;
civil disturbances; or
other force majeure events.
31. No Landlord-Tenant Relationship
The parties acknowledge that this Agreement creates only a temporary license to occupy the Property for the agreed rental period.
Nothing contained herein shall be construed as creating a landlord-tenant relationship, leasehold interest, or other possessory right beyond the agreed rental term.
32. Quiet Enjoyment and Neighbor Conduct
The Lessee agrees to conduct themselves and ensure all guests conduct themselves in a respectful manner.
Excessive noise, disorderly conduct, harassment, public indecency, or conduct that interferes with neighboring properties is prohibited.
The Lessee is responsible for any fines, penalties, or damages arising from violations of local ordinances or homeowner association rules.
33. Alcohol
Alcohol consumption is permitted only by persons legally permitted to consume alcoholic beverages under applicable law.
The Lessee agrees that no guest will use equipment while intoxicated or otherwise impaired.
34. Illegal Drugs and Weapons
Possession, use, manufacture, or distribution of illegal drugs is strictly prohibited.
Firearms, explosives, illegal weapons, or other prohibited weapons shall not be brought onto the Property except as permitted by applicable law and with prior written approval if required by Hidden Key's policies.
Nothing in this section limits any rights provided under applicable law.
35. Biohazard Cleaning
If the Property requires specialized cleaning or sanitation due to bodily fluids, hazardous materials, illegal drug use, excessive contamination, or other extraordinary conditions, the Lessee agrees to pay all reasonable remediation costs.
36. Photographic Documentation
Hidden Key may inspect the Property before check-in and after check-out and may document its condition through photographs, video recordings, inventories, or inspection reports.
Such documentation may be used to support claims for damages, excessive cleaning, missing property, or violations of this Agreement.
37. Collection Costs
The Lessee agrees to pay all lawful costs incurred by Hidden Key in collecting unpaid amounts owed under this Agreement, including court costs, reasonable attorney fees where permitted by applicable law, collection agency fees where permitted, and lawful interest.
38. Electronic Communications and Signatures
The Lessee agrees that this Agreement may be executed electronically.
Electronic signatures, initials, acknowledgments, digital acceptance, and electronic communications shall have the same force and effect as original handwritten signatures to the fullest extent permitted by law.
39. Dispute Resolution
The parties agree to attempt in good faith to resolve any dispute arising under this Agreement through informal discussions before initiating legal proceedings.
If litigation becomes necessary, any action shall be brought in a court of competent jurisdiction located in the State of Michigan unless another venue is required by law.
40. Limitation of Liability
To the fullest extent permitted by Michigan law, Hidden Key's total liability arising out of this Agreement shall not exceed the total rental charges actually paid by the Lessee.
Hidden Key shall not be liable for incidental, consequential, special, indirect, punitive, or exemplary damages except where such limitation is prohibited by law.
41. Waiver
Failure by Hidden Key to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
42. Modification
No amendment or modification of this Agreement shall be effective unless made in writing and accepted by Hidden Key.
43. Severability
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
44. Entire Agreement
This Agreement, together with the reservation confirmation, house rules, pricing disclosures, cancellation policy, and incorporated policies, constitutes the complete agreement between the parties and supersedes all prior negotiations, representations, or agreements concerning the rental.
45. Acknowledgment
The Lessee acknowledges that they have:
read this Agreement in its entirety;
had the opportunity to ask questions before signing;
voluntarily entered into this Agreement;
accepted responsibility for all registered guests;
accepted the risks associated with the Property and its equipment;
agreed to comply with all applicable laws and Property rules; and
understood that violation of this Agreement may result in immediate termination of the rental, additional charges, and legal action where appropriate.
